IMPORTANT: Resilience by YQ is a wellness journaling tool and is NOT a medical device, mental health treatment, or substitute for professional psychological or psychiatric care. 1. ACCEPTANCE OF TERMS

By downloading, installing, accessing, or using the Resilience by YQ application (“App” or “Service”), you agree to be bound by these Terms of Service (“Terms”) and our Proprietary Software License Agreement. These documents together form the complete agreement between you and Unconventional Thinker Ltd. Our Privacy Policy is a separate document governing our data practices, is not incorporated into these Terms, and is agreed to separately.

If you do not agree to these Terms, do not download, install, or use the App.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. By using the App, you consent to the exclusive jurisdiction of the courts of Ontario, Canada.

2. ABOUT RESILIENCE BY YQ

Resilience by YQ is a private, AI-powered mobile wellness journaling application developed and operated by Unconventional Thinker Ltd. (“Company,” “we,” “us,” “our”), a corporation incorporated under the laws of Ontario, Canada, operating under the registered trade names YQ and Resilience by YQ.

The App enables users to:

Record and store private voice journal entries

Receive AI-generated transcriptions for audio journaling, and emotional tone analysis

Track emotional patterns and wellness trends over time

Optionally connect Apple Health data (sleep, activity) to surface correlations between lifestyle habits and emotional states

View insight data derived from journaling history and health data

Track journaling streaks and earn milestone badges

Receive contextual data including weather and lunar cycle information as optional wellness signals

Optionally enable location-based insights to discover emotional patterns tied to the places where you journal

The App is available on iOS. A free plan provides limited access to core features; paid subscriptions unlock unlimited journaling, encrypted cloud storage, and higher AI usage allowances, as described in Section 3.

IMPORTANT: The App is a personal wellness tool. It does not provide medical advice, diagnosis, or treatment. Emotional analysis and insights generated by the App are for informational and self-reflection purposes only and do not constitute clinical assessment.

3. SUBSCRIPTION PLANS AND BILLING

3.1 Available Plans

Resilience by YQ is offered under three plans. Paid plans are additive: every paid plan includes everything in the Free Plan, and the Premium Plus Plan differs from the Premium Plan only by the size of its monthly AI usage allowances.

Free Plan

Up to 15 voice journal entries and 30 text journal entries (lifetime totals)

Up to 30 AI transcriptions (lifetime total)

Voice recordings are stored on your device only; they are not stored in the cloud and are not recoverable if you delete or reinstall the App

Text-to-speech playback of transcripts is not available

Basic insight cards, with insight history limited to the last 7 days

Journaling streak tracking and milestone badges

Premium Plan

Everything in the Free Plan, plus:

Unlimited voice and text journal entries

Encrypted cloud storage of your journal entries, recoverable after reinstalling the App

Up to 100 AI transcriptions per month

Up to 100 text-to-speech conversions per month

Full emotional insight history

Advanced insights — AI pattern detection across your entries, including recurring emotional themes, mood correlations with sleep, activity, weather, and lunar cycles, and mood patterns across the places you journal from

PRICING: $6.95/month

Premium Plus Plan

Everything in the Premium Plan, with higher monthly AI usage allowances:

Up to 200 AI transcriptions per month

Up to 200 text-to-speech conversions per month

PRICING: $11.95/month

Monthly AI usage allowances on paid plans reset at the start of each subscription billing period. Each paid plan may be offered with the billing cycle options shown in the App Store at the time of purchase; the billing cycle affects only the price and renewal schedule, never the plan’s features or allowances.

We may introduce additional subscription tiers, add-on features, or promotional plans in the future. Any new plans or material changes to existing plans will be announced via email or in-app notification before taking effect. New plans do not alter your existing subscription unless you actively choose to switch.

3.2 Billing and Payment

All subscriptions are processed exclusively through Apple’s in-app purchase system. By subscribing, you agree to Apple’s payment terms and conditions. Unconventional Thinker Ltd. does not collect, store, or process your payment card details at any time — all billing is handled entirely by Apple.

Subscription fees are charged in the currency specified at the time of purchase. Applicable taxes are determined and collected by Apple in accordance with the laws of your jurisdiction.

3.3 Automatic Renewal

Your subscription is a contract of indeterminate duration, with no fixed term. It automatically renews at the end of each billing cycle unless cancelled at least 24 hours before the renewal date. Renewal charges are processed by Apple within 24 hours before the end of the current period.

You may manage or cancel your subscription at any time through your Apple ID account settings (Settings → [Your Name] → Subscriptions). Cancellation takes effect at the end of the current billing period — you retain access to paid features until that date.

3.4 Refund Policy

All purchases are processed through Apple’s App Store. Refund requests are subject to Apple’s refund policy and must be directed to Apple. Unconventional Thinker Ltd. does not issue independent refunds for in-app purchases. To request a refund, visit reportaproblem.apple.com or contact Apple Support directly.

3.5 Price Changes

Because your subscription is a contract of indeterminate duration, not a fixed-term contract (Section 3.3), we may update subscription pricing with at least 30 days’ advance notice delivered via email or in-app notification. The notice will state the current price and the new price. Price changes take effect at your next renewal cycle. If you do not agree to the new price, you may cancel your subscription without penalty, as described in Section 3.3, either before the change takes effect or within 30 days after it takes effect. “Without penalty” means no early-termination fee. Because Apple processes renewal charges up to 24 hours before the renewal date (Section 3.3), cancelling after the new price has already been charged does not by itself entitle you to a refund for that billing period; refund requests follow Section 3.4. Continued use of the App after that period, without cancelling, constitutes your acceptance of the new pricing.

3.6 Feature Changes

We reserve the right to modify, add, or remove features from any subscription plan. We will provide reasonable advance notice of material changes to plan features.

4. ELIGIBILITY AND ACCOUNT REQUIREMENTS

4.1 Age Requirement

You must be at least 18 years of age to create an account and use the App. By creating an account, you represent and warrant that you are 18 years of age or older. If you are under 18, you may not use the App under any circumstances.

The App is not intended for use by minors. If we become aware that a user is under 18, we will terminate their account and delete their data promptly.

4.2 Account Creation

To use the App, you must register with a valid email address and create a secure password. You agree to:

Provide accurate, current, and complete account information

Maintain the confidentiality of your login credentials

Accept responsibility for all activity that occurs under your account

Notify us immediately at support@thinkyq.com if you become aware of any unauthorized access to your account

4.3 One Account Per User

Each account is for individual use only. You may not share your account credentials with any other person or allow any other person to access or use the App through your account.

5. ACCEPTABLE USE POLICY

You agree to use the App only for its intended purpose of personal wellness journaling and self-reflection. You agree NOT to:

Use the App for any unlawful purpose or in violation of any applicable laws or regulations

Reverse engineer, decompile, disassemble, or attempt to extract the source code of the App

Use the App to build or assist in building a competing product or service

Transmit malware, viruses, or any other harmful or malicious code

Attempt to gain unauthorized access to any portion of the App, its servers, or related systems

Use automated tools, bots, or scripts to interact with the App without explicit authorization

Impersonate any person or entity or misrepresent your affiliation with any person or entity

Interfere with or disrupt the integrity or performance of the App or its underlying infrastructure

Sell, trade, transfer, or assign your account to any other person

Circumvent or disable any security, content protection, or access control features

6. INTELLECTUAL PROPERTY

6.1 Our Rights

The App, including all content, features, functionality, underlying code, AI models, data processing pipelines, branding, and visual design, is the exclusive property of Unconventional Thinker Ltd. All intellectual property rights are reserved. The trade names YQ and Resilience by YQ are registered business names of Unconventional Thinker Ltd. in Ontario, Canada.

You are granted only a limited, personal, non-exclusive, non-transferable license to use the App as permitted under these Terms and our Proprietary Software License Agreement. No other rights are granted.

6.2 Your Journal Content

You retain full ownership of all journal entries, voice recordings, and personal content you create within the App. We do not claim any ownership over your personal journal content.

By using the App, you grant Unconventional Thinker Ltd. a limited, non-exclusive license to store, process, and transmit your content solely for the purpose of delivering the App’s features and services to you. This includes transmitting voice recordings and journal content to our AI processing partners (xAI, OpenAI, and Anthropic) for transcription, summarization, and sentiment analysis, as described in our Privacy Policy. This license does not grant us any right to use your journal content for advertising, to share it with third parties for commercial purposes, or to use it for any purpose beyond delivering your personal App experience.

Where you have provided separate, explicit consent (the Data Sales preference in the App’s privacy settings, off by default), we may additionally use the anonymized, aggregated signals derived from your content through this AI processing — such as sentiment classifications or topic tags, never the underlying recordings, transcripts, or summaries themselves — for inclusion in group-level commercial outputs, as described in our Privacy Policy. This additional use applies only to anonymized, group-level derived signals; it does not expand the license above to permit any commercial use of your raw journal content, recordings, transcripts, or summaries, which remain governed solely by the preceding paragraph.

6.3 Feedback

If you submit feedback, feature suggestions, bug reports, or other communications about the App, you grant Unconventional Thinker Ltd. a worldwide, royalty-free, perpetual license to use and incorporate such feedback into the App or our services. This clause applies to feedback and suggestions only — not to your journal content.

6.4 Open Source Components

The App incorporates open-source software components governed by their respective licenses. See THIRD_PARTY_LICENSES.md for a complete list. Those licenses apply only to their respective components and do not extend to the proprietary elements of the App.

6.5 Sponsored Content

The App may from time to time include wellness content, exercises, or features that are supported or underwritten by third-party sponsors. Any sponsored content will be clearly identified with a credit line within the App. Sponsor selection and display are never driven by your emotional state, health data, or journal content. Sponsors receive only aggregate, anonymized impression data (such as the total number of times a sponsored feature was viewed) and never receive any data that identifies you personally or reveals your emotional state. No sponsor data or branding is written to Apple Health or any health data integration. Sponsorship does not affect the quality, availability, or privacy protections of the App’s core features.

7. AI PROCESSING AND DATA

Resilience by YQ uses a configurable pool of AI processing partners — currently xAI, OpenAI, and Anthropic — as its core functionality, including voice transcription, journal summarization, emotional tone analysis, and insight generation. Not every partner performs every function; see our Privacy Policy for details on which partner performs which function. This AI processing is an integral part of the Service, not an optional feature.

This AI processing includes:

Your voice recordings being transcribed by AI into text

Your journal content being analyzed for emotional tone and sentiment

AI-generated insights being derived from your entries

Your journal content being transmitted to our AI processing partner(s), currently xAI, OpenAI, and Anthropic, for this purpose. Our current AI processing partner(s) are identified in our Privacy Policy, which is updated if providers change

AI-generated insights, emotional analyses, and pattern correlations are generated by automated systems and are provided for personal reflection purposes only. They do not constitute medical, psychological, clinical, or professional advice of any kind.

Correlations between journal content and health data (including Apple Health data, weather, and lunar cycle information) are statistical in nature and are provided for informational purposes. They should not be interpreted as diagnostic findings or clinical conclusions.

8. HEALTH DATA

The App offers optional integration with Apple Health to display correlations between lifestyle data (sleep duration, physical activity) and your emotional journaling patterns. This integration is entirely optional.

By enabling Apple Health integration, you authorize Resilience by YQ to read health data from Apple Health on your device. In future releases, the App may also write data to Apple Health (such as Mindful Minutes from completed wellness exercises). Write access requires separate, explicit permission granted through your device’s Privacy & Security settings and will only occur when you actively complete a qualifying activity within the App. You may revoke this permission at any time through your device’s Privacy & Security settings. In addition to your device’s Privacy & Security settings, you can review and manage each health permission individually within the App at Settings → Profile → Permissions.

Health data accessed through Apple Health is used solely to generate personal insight correlations within your App experience. It is not sold, shared with third parties for commercial purposes, or used for advertising. See our Privacy Policy for full details on how health data is stored and processed.

IMPORTANT: The App’s health data correlations are not medical analysis. Sleep and activity correlations shown in the App are general wellness observations and do not constitute medical advice, diagnosis, or clinical findings.

8.5 Location Data

The App offers optional location-based insights that identify emotional patterns tied to the places where you journal. This feature requires your explicit, separate consent and can be enabled or disabled at any time in Settings → Privacy.

If you enable location insights, the App captures your device’s location at the time of each journal entry. Precise coordinates are encrypted at rest using the same protections applied to your journal content and health data. Location data is stored in our database only and is never shared with third parties, AI processing partners, sponsors, or any external service. Weather services continue to receive only approximate coordinates (rounded to ~1 km), never your precise location. Any on-device geographic hints (such as nearby street names) are computed locally on your device and are never transmitted to or stored on our servers.

Location data is never transmitted to our AI processing partner(s). AI continues to analyze journal content for sentiment, tone, and topics as described in Section 7. Location-based insights are generated by correlating AI outputs with location data on our systems — the AI provider never receives, processes, or has access to your coordinates or place information.

You may name places that the App identifies as frequent journaling locations. Naming is always optional, never interrupts the journaling experience, and applies retroactively to past entries from that location. You may rename, merge, or delete places at any time through the App’s “Your Places” settings. Deleting a place removes the location association from all linked journal entries without deleting the entries themselves.

You may grant precise or approximate location permission through your device’s Privacy & Security settings. Precise location is required for place-based insights. Approximate location (city-level) does not support place-based insights but does improve weather context accuracy. Revoking location consent deletes all stored coordinates, named places, and associated place data. If you decline location permission entirely, the App continues to function fully using the city configured in your profile.

9. MENTAL HEALTH AND WELLNESS DISCLAIMER

Resilience by YQ is designed as a personal journaling and self-reflection tool. It is not a mental health treatment, therapeutic intervention, or medical device. This includes any guided wellness exercises, breathwork sessions, mindfulness activities, or suggested practices that may be offered within the App.

The App:

Does NOT provide therapy, counselling, or clinical mental health support

Does NOT diagnose mental health conditions

Does NOT replace the advice, diagnosis, or treatment of a licensed mental health professional, physician, or other qualified healthcare provider

Is NOT designed for use during mental health crises

Does NOT guarantee specific wellness outcomes from any guided exercises, breathwork sessions, or mindfulness activities offered within the App. These features are provided for general wellness purposes only and may not be suitable for all individuals

If you are experiencing thoughts of self-harm, suicide, or a mental health emergency, please stop using the App and contact emergency services or a crisis support line immediately.

Always seek the advice of a qualified mental health professional with any questions you have regarding your mental health. Never disregard professional medical advice or delay seeking it because of something you have read or experienced in the App.

10. LIMITATION OF LIABILITY

10.1 Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. UNCONVENTIONAL THINKER LTD. EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

The App will meet your requirements or expectations

The App will be available uninterrupted, timely, secure, or error-free

AI-generated transcriptions, summaries, or insights will be accurate or complete

Any defects or errors will be corrected

The App will be compatible with all devices or operating system versions

10.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNCONVENTIONAL THINKER LTD., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:

Indirect, incidental, special, consequential, or punitive damages

Loss of profits, revenue, data, goodwill, or use

Damages related to service interruptions, data loss, or failed backups

Damages arising from reliance on AI-generated insights or emotional analysis

Damages arising from health data correlations displayed in the App

Damages arising from location-based insights or place correlations displayed in the App

This limitation applies even if Unconventional Thinker Ltd. has been advised of the possibility of such damages.

10.3 Liability Cap

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS ($100 CAD), WHICHEVER IS GREATER.

10.4 Ontario Consumer Protection

Nothing in these Terms limits or excludes any rights you may have under the Ontario Consumer Protection Act, 2002, or other applicable consumer protection legislation that cannot be waived by contract. Where applicable law prohibits the exclusion or limitation of certain warranties or liabilities, such exclusions or limitations apply only to the fullest extent permitted by law.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Unconventional Thinker Ltd., its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

Your violation of these Terms

Your use or misuse of the App

Your violation of any applicable law or regulation

Your violation of any third-party rights

Any content you submit, post, or transmit through the App

12. TERMINATION

12.1 Termination by You

You may terminate your account at any time by:

Navigating to account settings and selecting “Delete Account” within the App

Contacting us at support@thinkyq.com

Upon account deletion, your personal data will be handled in accordance with our Privacy Policy. Cancellation of your subscription does not automatically delete your account.

12.2 Termination by Us

We may suspend or terminate your account and access to the App if you:

Violate these Terms or our Proprietary Software License Agreement

Engage in conduct that is illegal, fraudulent, or harmful to other users or to the App

Fail to pay applicable subscription fees after written notice and a reasonable opportunity to cure

Use the App in a manner that creates legal, regulatory, or reputational risk for Unconventional Thinker Ltd.

Where circumstances permit, we will provide advance notice of termination. In cases of serious violations, immediate termination without notice may be required.

12.3 Effect of Termination

Upon termination of your account:

Your right to access and use the App immediately ends

Your access to all features, journal entries, and data within the App will cease

Data deletion will proceed in accordance with our Privacy Policy

The following provisions survive termination: Section 6 (Intellectual Property), Section 10 (Limitation of Liability), Section 11 (Indemnification), Section 13 (Governing Law and Dispute Resolution), and Section 15 (General Provisions).

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles.

13.2 Dispute Resolution — Good Faith Negotiation

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the App by contacting us in good faith at support@thinkyq.com with a written description of your concern. We will make reasonable efforts to respond and resolve the matter within 30 days.

13.3 Jurisdiction

If a dispute cannot be resolved through good faith negotiation, you agree that any legal action or proceeding arising out of or relating to these Terms or the App shall be brought exclusively in the courts of the Province of Ontario, Canada. You hereby consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in Ontario.

13.4 Ontario Consumer Rights

Nothing in this Section limits any rights you may have under the Ontario Consumer Protection Act, 2002, or other applicable consumer protection legislation that cannot be limited by contract.

14. PRIVACY

Your privacy is important to us. Our Privacy Policy is a separate document that explains how we collect, use, store, and protect your personal information, including your journal content and health data. Please review it carefully at resiliencebyyq.com/privacy or within the App. Your consent to specific data practices is given directly through the Privacy Policy and the App’s consent settings, not as a condition of agreeing to these Terms.

15. MODIFICATIONS TO TERMS

We reserve the right to update or modify these Terms at any time, including the subscription plans, pricing, features, and policies described in these Terms. We will notify you of material changes via email to your registered address or through an in-app notification at least 30 days before changes take effect. The notice will identify which specific sections of these Terms are changing and will show the previous wording next to the new wording.

If an amendment increases your obligations or reduces our obligations, you may cancel your subscription without penalty, as described in Section 3.3, either before the change takes effect or within 30 days after it takes effect. Your continued use of the App after that period, without cancelling, constitutes your acceptance of the revised Terms.

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with our Proprietary Software License Agreement, constitute the entire agreement between you and Unconventional Thinker Ltd. with respect to the App and supersede all prior agreements, representations, or understandings. Our Privacy Policy is a separate document governing our data practices and is not part of this agreement.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Unconventional Thinker Ltd.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, with reasonable notice to you.

16.5 Force Majeure

Unconventional Thinker Ltd. shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, governmental actions, internet outages, or third-party service failures.
